FILM SYNCHRONIZATION LICENSE AGREEMENT

THE PARTIES AGREE AS FOLLOWS:

SECTION 1 - BACKGROUND

1.1 The Music Producer is the owner of the exclusive master rights in the sound recording(s) listed in Exhibit A (the “Recording”), including all related neighbouring rights.

1.2 The Film Producer wishes to acquire a license to synchronize the Recording in an audiovisual production.

1.3 The Music Producer grants such license under the fixed terms set forth below.

SECTION 2 - GRANT OF LICENSE

2.1 Subject to the terms of this Agreement, the Music Producer grants the Film Producer a non-exclusive, non-transferable license to synchronize the Recording into the audiovisual production entitled:

    (hereinafter “the Production”).

2.2 The license includes the right to reproduce, distribute, communicate to the public, broadcast, stream and otherwise exploit the Production incorporating the Recording.

2.3 The license is granted:

  • Worldwide;
  • In all media now known or hereafter developed;
  • In perpetuity.

2.4 This license applies solely to the Production identified above and to its promotion.

2.5 This license does not include use of the Recording in standalone advertising, brand campaigns, corporate promotional films, or other commercial advertising activities unrelated to the promotion of the Production itself.

2.6 For episodic television, streaming series, or recurring audiovisual programs, each individual episode shall be considered a separate Production under this Agreement. Recurring use across multiple episodes or productions is not permitted.

SECTION 3 - PAYMENT

3.1 The synchronization fee for the use of one Recording in one Production is 500 EUR.

3.2 The fee is fixed and non-negotiable.

3.3 An invoice will be issued by the Music Producer. Payment must be made in full by bank transfer to the IBAN account specified on the invoice.

3.4 Any bank transfer fees or intermediary charges shall be borne by the Film Producer. The Music Producer must receive the full invoiced amount.

3.5 Payment of the invoice constitutes acceptance of the terms of this Agreement.

3.6 The fee is non-refundable, regardless of whether the Recording is ultimately used in the Production.

3.7 The high-resolution master file will be delivered for download in WAV format (44.1 kHz / 16-bit / stereo) after receipt of full payment. No separate stems, multitrack files, alternate mixes, or modified versions will be provided under this Agreement.

SECTION 4 - TERMS AND CONDITIONS

4.1 The license granted under this Agreement is limited strictly to the Production identified in Section 2.

4.2 The Film Producer may not sublicense or transfer the rights granted herein, except where necessary for the distribution or exhibition of the Production.

4.3 The Recording may not be released separately as a soundtrack track, single, or standalone audio product.

4.4 Where reasonably practicable, the Film Producer agrees to include the following credit in the end credits of the Production: “Backing track by Aberforth D – The Sound of Opera”.

4.5 This Agreement may not be amended or modified.

SECTION 5 - WARRANTIES

5.1 The Music Producer warrants that:

  • The Music Producer controls 100% of the master rights in the Recording;
  • The composition is in the public domain;
  • The Music Producer has authority to grant this license.

SECTION 6 - LIMITATION OF LIABILITY

6.1 The total liability of the Music Producer under this Agreement shall not exceed the license fee paid.

SECTION 7 - MISCELLANEOUS

7.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof.

7.2 This Agreement shall be governed by French law.
